Terms of Service

These Terms of Service ("Terms") govern your access to and use of phaselogic.ai and any products, applications, or services provided by Phase Logic LLC ("Phase Logic," "we," "us," or "our"). By accessing the website or using any of our services, you agree to be bound by these Terms. If you do not agree, do not use the services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into these Terms. If you use the services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The services

Phase Logic offers a website, custom-built software development services, and consumer and business applications. Specific services may be subject to additional terms presented to you at the time of purchase or sign-up; those additional terms are incorporated by reference.

3. Accounts

• You are responsible for safeguarding your account credentials and for all activity under your account.
• You agree to provide accurate information when creating an account and to keep it up to date.
• We may suspend or terminate accounts that violate these Terms, abuse the services, or pose a risk to other users.

4. Acceptable use

You agree not to:

• Use the services to violate any law, regulation, or third-party right.
• Reverse engineer, scrape, or attempt to gain unauthorized access to the services.
• Upload or transmit malware, spam, or harmful content.
• Use the services to harass, defame, or harm others.
• Misrepresent your affiliation with any person or entity, including impersonating another business when connecting third-party accounts (such as Google Business Profile or Shopify) to our services.

5. Third-party services and connected accounts

Some of our products integrate with third-party platforms (including Google services such as Google Business Profile, Stripe, Shopify, and others). Your use of those platforms is governed by their own terms and privacy policies. When you connect a third-party account, you authorize Phase Logic to access and use that account only for the features you have enabled, in accordance with our Privacy Policy. You can disconnect at any time.

6. Fees, billing, and refunds

• Paid services are described and priced at the point of purchase. Recurring subscriptions renew automatically until cancelled.
• Payments are processed by Stripe and other payment processors. By providing payment information, you authorize us to charge the amounts owed.
• Unless otherwise stated, all fees are non-refundable. We may, in our sole discretion, offer pro-rated or discretionary refunds.
• You are responsible for any taxes associated with your purchases, except for taxes based on Phase Logic's net income.

7. Intellectual property

• The services, including all software, designs, text, graphics, and other content (excluding User Content), are owned by Phase Logic LLC or its licensors and are protected by intellectual-property laws.
• We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the services for their intended purpose.
• You retain ownership of content you submit ("User Content"), but you grant Phase Logic a worldwide, royalty-free license to host, store, and process User Content as needed to provide and improve the services.

8. Disclaimers

The services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the maximum extent permitted by law, Phase Logic disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the services will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, in no event will Phase Logic LLC, its officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with these Terms or the services. Phase Logic's total liability for any claim arising out of or relating to these Terms or the services is limited to the greater of (a) the amount you paid Phase Logic in the twelve months preceding the claim, or (b) one hundred U.S. dollars.

10. Indemnification

You agree to indemnify and hold harmless Phase Logic LLC and its affiliates, officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the services, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the services at any time. We may suspend or terminate your access to the services at any time, with or without cause, including if you violate these Terms. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the services will be resolved in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the services after a change becomes effective constitutes acceptance of the revised Terms.
